The Offer & Negotiation

Alex Chen11 min readUpdated 1,382 real interview reports

A Microsoft offer has five moving parts. Base salary. An on-hire stock grant. A one-time sign-on cash bonus. An annual cash performance bonus. And an annual stock refresher that recruiters rarely put on the table at offer time. Read the package as those five things. Each one flexes differently, and a few of them are where a counter lands.

The on-hire stock vests evenly, 25% a year over four years, with the first quarter landing at your one-year anniversary. So your equity climbs at a steady pace from year one rather than waiting for a back-loaded year three. On top of that base and equity, Microsoft pays a real annual cash bonus, a target percentage of your base set by level and performance. The even-vesting grant plus a genuine cash bonus is the shape of the package, and it changes which numbers are worth fighting for.

The Microsoft angle
The even-vest plus real-bonus model is the Microsoft differentiator, and it changes how you value a competing offer. Microsoft on-hire stock vests 25 / 25 / 25 / 25 across four years. That is the industry-standard even schedule. It does not back-load the way Amazon's roughly 5 / 15 / 40 / 40 grant does, where most of the equity waits for years three and four. Microsoft also pays an annual cash performance bonus, which Amazon does not. So stack a Microsoft offer against an Amazon one. The Microsoft year-one and year-two numbers are real money you can count on. A back-loaded grant makes you wait for that money. Don't let a higher Amazon headline total fool you: a chunk of it is sign-on cash papering over equity you won't see for years. (On-hire vesting cadence after the one-year cliff is reported inconsistently across sources, annual versus quarterly, so confirm the exact post-cliff schedule on your own offer letter.)
