Negotiation Playbook

Alex Chen10 min readUpdated

A Chewy offer has three parts that carry weight and one that mostly follows a formula. There is a base salary. There is a grant of restricted stock, the RSUs, quoted as a single dollar figure and vesting over four years. There is a one-time sign-on bonus. And there is an annual cash bonus that runs to a target of roughly 10% of base, which moves with company and personal performance rather than at the table. Chewy has been public since its 2019 IPO and trades on the New York Stock Exchange as CHWY, so the stock in that grant is real. A vested unit is a share you can sell at that day's price. There is no option strike and no future exit to wait on. Read the offer as base, grant, and sign-on, with the bonus as a target percentage layered on top, then ask which of those parts will move.

The Chewy angle
In a Chewy negotiation, your level is the single highest-value move, above any one number. Chewy sets the level early, from your years of experience and the signal you give across the loop, and every dollar on the letter hangs off that decision. One rung up lifts the base, resets the RSU grant to a larger schedule, and raises the dollar value of a bonus that is quoted as a percentage of base. That gain repeats every year you stay. A sign-on is spent once. So contest the level before you contest any single figure. After the level, base is the steadiest lever, the sign-on has visibly moved between candidates, and the grant can move with a competing offer.
